Bharti Airtel Raises Airtel Africa Stake To 79% In ₹28,000 Crore Deal

Bharti Airtel raises its Airtel Africa stake to 79% in a ₹28,200 crore share-swap deal, boosting exposure to one of Africa's fastest-growing telecom businesses.

Bharti Airtel has strengthened its ownership in Airtel Africa by increasing its effective stake to nearly 79% through a major share swap transaction valued at approximately ₹28,200 crore. The move reflects the telecom giant’s growing confidence in its African operations, which have emerged as one of the fastest growing parts of the group’s global business.

According to a regulatory filing made on Tuesday, Bharti Airtel completed the acquisition of 595.2 million shares of Airtel Africa from Indian Continent Investment Limited (ICIL), a promoter group entity, on June 22, 2026.

The transaction increased Bharti Airtel’s stake in Airtel Africa from 62.73% to around 79%, giving the company significantly greater economic exposure to the African telecom business.

Share-Swap Structure Enables Cashless Acquisition

The deal was executed through a preferential allotment of Bharti Airtel shares to ICIL in exchange for its 16.31% stake in Airtel Africa.

Since the transaction was structured as a cashless share swap, Bharti Airtel did not incur any additional debt or cash outflow to complete the acquisition.

The company said the arrangement allowed it to acquire a large strategic stake in a high-growth asset while maintaining a strong balance sheet.

“The transaction, being a cashless share-swap, presents an opportunity to acquire a large block and increase economic interest in a high growth asset without any incremental leverage or cash outflow,” the company stated.

Airtel Africa Emerging As Key Growth Engine

The acquisition comes at a time when Airtel Africa is delivering strong financial performance across its markets.

The Africa-focused telecom operator reported a more than two-fold increase in net profit to $813 million (around ₹7,700 crore) during FY26. The profit growth was largely driven by tariff increases in Nigeria and favorable foreign exchange movements.

Revenue also witnessed strong momentum, rising 29.5% year-on-year to $6.4 billion in FY26 compared to $4.9 billion in the previous financial year.

The company operates across multiple African countries, providing mobile services, digital payments, enterprise connectivity, and broadband solutions to millions of customers.

Sunil Mittal Bets Big On Africa

The latest transaction aligns with Bharti Enterprises Chairman Sunil Bharti Mittal’s long-term strategy of increasing promoter ownership across group companies while deepening exposure to high-growth businesses.

During Bharti Airtel’s March 2026 quarter earnings announcement, Mittal had highlighted Airtel Africa’s future potential, stating that the business could evolve into a $10 billion revenue company over the next few years.

He also described Airtel Africa as a strategically important subsidiary capable of generating substantial returns for shareholders.

With telecom penetration, smartphone adoption, and digital financial services continuing to expand across Africa, Airtel Africa remains one of the group’s most important international growth platforms.

Strategic Significance Of The Deal

The acquisition strengthens Bharti Airtel’s control over one of its most valuable overseas assets at a time when investors are increasingly focused on emerging market growth opportunities.

Africa remains one of the world’s fastest growing telecom markets, driven by rising internet adoption, digital payments, mobile banking, and expanding data consumption.

By increasing its stake to nearly 79%, Bharti Airtel stands to benefit more directly from future earnings growth, cash generation, and value creation within Airtel Africa.

The transaction also simplifies the group’s ownership structure while reinforcing management’s confidence in the long-term growth trajectory of the African business.

As Airtel Africa continues expanding its customer base and digital services ecosystem, the higher ownership stake positions Bharti Airtel to capture a larger share of future growth from one of the world’s most promising telecommunications markets.
