Sumit Jain To Exit Executive Role At Unacademy

Unacademy co-founder and Test Prep business CEO Sumit Jain is stepping down from his full-time operating role at the company ahead of its proposed acquisition by upGrad.

According to an internal email sent by Unacademy CEO Gaurav Munjal to employees, June 30 will mark Jain’s final day in an executive capacity. However, Jain will continue to remain associated with the company in an advisory role.

The development comes at a crucial phase for Unacademy as the company moves closer to completing its all-stock acquisition deal with upGrad.

Gaurav Munjal Credits Jain For Scaling Key Businesses

In the internal communication, Munjal credited Sumit Jain for building and scaling some of Unacademy’s important business verticals, including creator platform Graphy and the company’s offline coaching operations.

Munjal highlighted Jain’s acquisition of Spayee and its integration with Graphy as one of the significant strategic moves that helped strengthen Unacademy’s creator ecosystem.

He also praised Jain’s role in improving the profitability of Unacademy’s offline business through stronger focus on unit economics and franchise-led expansion strategies.

Sumit Jain Joined Unacademy After Opentalk Acquisition

Sumit Jain joined Unacademy in 2020 after the edtech platform acquired his startup Opentalk. Before that, Jain was widely known as the co-founder of real estate platform CommonFloor.

Interestingly, CommonFloor had earlier acquired Gaurav Munjal’s first startup Flatchat in 2016, establishing a long professional association between the two founders.

Over the past few years, Jain played multiple leadership roles within Unacademy and later became CEO of the company’s flagship Test Prep business in September 2025.

At the time of his appointment, Unacademy had said Jain was leading initiatives around financial discipline, operational efficiency and product improvements within the test preparation segment.

Exit Comes Amid Unacademy-upGrad Acquisition Process

Jain’s departure comes as Unacademy undergoes one of the biggest transitions in its history. Earlier this year, upGrad signed a term sheet to acquire Unacademy in an all-stock deal reportedly valued at around ₹2,055 crore, or nearly $218 million.

The acquisition is expected to strengthen upGrad’s position in India’s highly competitive edtech market while helping consolidate operations across online learning and test preparation categories.

The broader edtech sector has witnessed increasing consolidation over the past two years as companies focus on profitability, operational restructuring and sustainable growth following a sharp slowdown in funding activity.
