Why Is UltraTech Cement Raising Its Largest-Ever Rupee Bond Issue?
UltraTech Cement, India’s largest cement manufacturer by production capacity, is planning to raise ₹5,000 crore through its biggest-ever rupee denominated bond issue, according to people familiar with the matter.
The company is currently in discussions with merchant bankers and arrangers to tap the domestic debt market ahead of the Reserve Bank of India’s (RBI) monetary policy decision on August 5.
If completed, the fundraising will be the largest bond issuance by UltraTech Cement in the domestic market. The move comes as the company looks to strengthen its funding position while taking advantage of favourable borrowing conditions before the central bank announces its next interest rate decision.
Three Bond Tranches Planned
According to sources, UltraTech Cement plans to raise an aggregate ₹5,000 crore through bonds across three maturities.
The proposed fundraising includes:
- ₹1,500 crore through 2.5-year bonds at an expected annual coupon of 7.22%
- ₹1,500 crore through 3.5-year bonds at an expected annual coupon of 7.23%
- ₹2,000 crore through 5-year bonds at an expected annual coupon of 7.25%
The discussions are currently private, and the final terms could change before the issuance is completed.
The company has not responded to media queries regarding the proposed bond sale.
Issue Expected Before RBI’s August Policy Meeting
Sources indicated that UltraTech aims to complete the bond issuance before the RBI’s Monetary Policy Committee (MPC) meeting on August 5.
Borrowers often access debt markets ahead of key monetary policy decisions to lock in funding costs before any potential changes in interest rates.
With expectations that borrowing conditions could shift depending on the RBI’s policy stance, UltraTech appears to be moving quickly to secure long-term financing.
AAA-Rated Bonds Likely to Attract Investors
The proposed bonds have been assigned the highest AAA credit rating by Crisil, indicating a very strong capacity to meet financial obligations.
According to bankers involved in the discussions, the high credit rating is expected to attract strong demand from institutional investors, particularly mutual funds, which generally prefer investing in high-quality debt instruments.
UltraTech’s strong financial profile and leadership in the cement sector are expected to support investor interest in the proposed issue.
Previous Bond Issuance
UltraTech has been an active participant in India’s corporate bond market.
In March 2025, the company raised:
- ₹1,000 crore through three-year bonds
- ₹1,000 crore through five-year bonds
Both issuances carried an annual coupon of 7.34%.
Compared with those borrowings, the proposed issue reflects slightly lower coupon rates, indicating relatively favourable financing conditions.
The company currently has ₹3,500 crore worth of outstanding bonds, including ₹500 crore scheduled to mature within the next month.
Strong Financial Performance Supports Fundraising
The planned fundraising follows a solid start to the financial year for UltraTech Cement.
Earlier this month, the company reported a nearly 17% year-on-year increase in first-quarter profit, driven by its ability to offset higher fuel costs through operational efficiency and economies of scale.
Despite rising energy prices linked to the West Asia conflict, UltraTech leveraged its market leadership and extensive manufacturing network to perform better than many smaller competitors.
Its strong earnings and healthy balance sheet are expected to further enhance investor confidence in the proposed bond issue.
